1 Acceptance of Terms

By accessing or using our website, requesting a quote, or engaging Weblixtech for any services, you confirm that you:

• Are at least 18 years of age or have the legal authority to enter into a binding contract
• Have read, understood, and agree to these Terms and Conditions
• Have read and agree to our Privacy Policy

If you do not agree to these Terms, please do not use our website or engage our services. We reserve the right to update these Terms at any time, and continued use of our services constitutes acceptance of the updated Terms.

2 Our Services

Weblixtech provides the following digital services:

• Web Development — custom website design and development, e-commerce solutions, CMS development, web applications, and website maintenance
• Graphic Design — brand identity, logo design, UI/UX design, social media creatives, print collateral, and motion graphics
• Digital Marketing — search engine optimisation (SEO), pay-per-click advertising, social media marketing, email marketing, and content marketing

The specific scope, deliverables, timeline, and pricing for any project will be defined in a separate project proposal or service agreement provided to you before work commences.

3 Project Agreements & Proposals

All projects begin with a written proposal or service agreement that outlines:

• Project scope and deliverables
• Project timeline and milestones
• Total cost and payment schedule
• Number of revision rounds included
• Any specific terms applicable to the project

A project is considered confirmed and work commences only upon:

• Written acceptance of the project proposal by the client (email confirmation is acceptable)
• Receipt of the agreed advance payment as specified in the proposal

4 Payment Terms

4.1 Payment Schedule

Unless otherwise agreed in writing, our standard payment schedule is:

• 50% advance — payable before work commences
• 50% balance — payable upon project completion and before final files/launch

For larger projects, a milestone-based payment schedule may be agreed upon and outlined in the project proposal.

4.2 Invoices & Due Dates

• All invoices are due within 7 days of the invoice date unless otherwise specified
• Late payments may attract a late fee of 2% per month on the outstanding amount
• Work may be paused if invoices remain unpaid beyond the due date

4.3 Refund Policy

• Advance payments are non-refundable once work has commenced
• If a project is cancelled by the client after work has begun, payment is due for all work completed up to the cancellation date
• If a project is cancelled by Weblixtech without cause, any advance payment for work not yet completed will be refunded

4.4 Taxes

All prices are exclusive of applicable taxes (GST/VAT) unless explicitly stated otherwise. Applicable taxes will be added to invoices as required by law.

5 Intellectual Property

5.1 Client-Owned Work

Upon receipt of full and final payment, Weblixtech assigns to the client full ownership of the final deliverables created specifically for the client's project, including:

• Final website files, source code, and databases
• Final logo files and brand identity assets in agreed formats
• Final graphic design deliverables as specified in the project proposal

5.2 Weblixtech Retained Rights

We retain ownership of the following unless explicitly agreed otherwise:

• Preliminary concepts, drafts, and rejected design options
• Proprietary tools, frameworks, code libraries, and methodologies used in the delivery process
• The right to showcase completed work in our portfolio, website, and marketing materials

5.3 Third-Party Assets

If licensed third-party assets (stock images, fonts, plugins, etc.) are used in your project, the client is responsible for maintaining appropriate licences for continued use after project handover. We will inform you of any third-party assets used and their licence requirements.

5.4 Client Content

You retain full ownership of all content, images, text, logos, and materials you provide to us. You grant us a non-exclusive licence to use this content solely for the purpose of completing your project.

6 Client Responsibilities

To ensure a successful project, the client agrees to:

• Provide all required content, materials, and information in a timely manner as agreed in the project plan
• Ensure all content and materials provided are owned by the client or properly licensed for use
• Provide clear, consolidated feedback within the agreed timeframes
• Designate a single point of contact with authority to approve project deliverables
• Notify us promptly of any changes to requirements, timelines, or project scope

7 Revisions & Change Requests

The number of revision rounds included in each project is specified in the project proposal. Our revision policy:

• Revisions must be requested within the scope of the original project brief
• Revisions are consolidated — multiple small changes requested together count as one round
• Additional revision rounds beyond those included will be billed at our standard hourly rate
• Changes to the original project scope (new features, additional pages, etc.) are considered "change requests" and will be quoted separately

8 Confidentiality

Both parties agree to maintain confidentiality with respect to any sensitive business information shared during the course of the project. This includes:

• Business strategies, financial information, and trade secrets
• Customer data and proprietary processes
• Any information explicitly marked as confidential

This obligation of confidentiality survives the termination of the project agreement. If you require a formal Non-Disclosure Agreement (NDA), please request one before sharing sensitive information.

9 Warranties & Disclaimers

Weblixtech warrants that:

• Services will be performed with reasonable skill and care
• Deliverables will materially conform to the agreed project specification
• We have the right to provide the services and deliverables described

Weblixtech does not warrant that:

• Websites or digital marketing campaigns will achieve specific rankings, traffic levels, or revenue targets
• The website will be completely free of errors or operate without interruption
• Third-party platforms (Google, Meta, etc.) will maintain their current algorithms, features, or policies

10 Limitation of Liability

To the maximum extent permitted by applicable law, Weblixtech shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, business opportunity, or goodwill
• Damages arising from third-party services, hosting providers, or platform outages
• Damages resulting from client-provided content that infringes third-party rights

In all cases, our total liability to you shall not exceed the total amount paid by you to Weblixtech for the specific project or service giving rise to the claim, in the 3 months preceding the claim.

11 Termination

11.1 Termination by Client

You may terminate a project agreement by providing written notice. Upon termination:

• Payment is due for all work completed up to the termination date
• The advance payment is non-refundable
• We will deliver all completed work upon receipt of final payment

11.2 Termination by Weblixtech

We reserve the right to terminate a project agreement if:

• Payment obligations are not met within 14 days of the due date
• The client requests work that is illegal, defamatory, or infringes third-party rights
• The working relationship becomes untenable due to the client's conduct

11.3 Website Usage Termination

We reserve the right to restrict or terminate your access to our website at any time, without notice, for conduct that violates these Terms or is harmful to other users, us, or third parties.

12 Governing Law & Disputes

These Terms and Conditions are governed by and construed in accordance with the laws of Rajasthan, India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Jaipur, Rajasthan.

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation. If a resolution cannot be reached within 30 days, either party may pursue formal legal remedies.
